By accessing or using the Upstate Leads website located at www.upstateleads.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you should not use the Site. Your continued use of the Site following any updates to these Terms constitutes acceptance of those changes.

2. Description of Service

Upstate Leads is a lead generation platform that connects homeowners in the Upstate South Carolina area with licensed contractors for roofing, plumbing, electrical, and general contracting services. We facilitate introductions between homeowners seeking home improvement or repair services and contractors who serve the Greenville, SC region and surrounding communities. Upstate Leads is not a contractor and does not perform any construction, repair, or home improvement work.

3. No Guarantee

Upstate Leads facilitates connections between homeowners and contractors but does not guarantee the quality, safety, legality, or timeliness of any contractor's work. We do not guarantee contractor pricing, availability, or that any particular contractor will meet your expectations. Homeowners are strongly encouraged to independently verify a contractor's licensing, insurance, references, and credentials before entering into any agreement. Any hiring decision is made solely between the homeowner and the contractor.

4. User Responsibilities

When using the Site, you agree to:

• Provide accurate, truthful, and complete information in all forms and communications.
• Not submit false, fraudulent, or misleading lead requests.
• Not use the Site for any unlawful purpose or in violation of any applicable local, state, or federal law.
• Not attempt to interfere with or disrupt the Site's functionality or security.
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity.

5. Contractor Terms

Contractors who receive leads through Upstate Leads are independent businesses and are not employees, agents, or representatives of Upstate Leads. Contractors are solely responsible for maintaining all required licenses, permits, insurance, and certifications as required by South Carolina law. Contractors are responsible for the quality, safety, and legality of their own work and for all interactions with homeowners. Leads are delivered via SMS and/or email at the contact information provided by the contractor.

6. SMS Communications

By providing your phone number and opting in to receive communications from Upstate Leads, you consent to receive text messages (SMS) including but not limited to lead notifications, service updates, and follow-up communications. By opting in, you acknowledge and agree that:

• Message and data rates may apply depending on your mobile carrier and plan.
• Message frequency varies based on lead activity and service updates.
• You may opt out at any time by replying STOP to any message.
• You may request help by replying HELP to any message or by contacting us at hello@upstateleads.com.
• Opting out of SMS does not cancel your account or any existing agreements.

7. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, design elements, code, and branding, is the property of Upstate Leads and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content from the Site without prior written permission from Upstate Leads.

8. Limitation of Liability

To the fullest extent permitted by law, Upstate Leads, its owners, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to your use of the Site or any services facilitated through the Site. This includes, without limitation, damages related to contractor work quality, disputes between homeowners and contractors, property damage, personal injury, project delays, or any loss of data. Upstate Leads operates solely as a lead generation service and assumes no responsibility for the performance or conduct of any contractor or homeowner connected through the platform. Your use of the Site is at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless Upstate Leads, its owners, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or any dispute between you and a contractor or other third party connected through the Site.

10. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Please review our Privacy Policy for full details. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Greenville County, South Carolina.

12. Modifications to Terms

Upstate Leads reserves the right to update or modify these Terms at any time without prior notice. Changes will be effective immediately upon posting to the Site. The "Effective Date" at the top of this page will be updated to reflect the most recent revision. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.
